## 1. Introduction
This document (the “Agreement” or the “Public Offer”) is a binding contract between you (the “User”, “you”) and Daolate (the “Operator”, “we”). It governs your access to and use of the Daolate web-novel platform available at `*.daolate.com` (the “Service”).
By ticking the box “I accept the User Agreement, Privacy Policy and use of cookies” on the registration form and clicking **Create account** (or by signing in via Google/Facebook/X/Telegram/Apple), you (a) confirm that you have read and understood this Agreement and (b) accept it without reservation. If you do not accept these terms, do not register and do not use the Service.
## 2. Eligibility and age
2.1. The Service is intended for users who are at least **13 years old** (Children’s Online Privacy Protection Act, 15 U.S.C. § 6501) and have legal capacity to enter into binding contracts under the law of their residence. In the European Economic Area the minimum age is **16** (Article 8 GDPR) unless the local member-state law sets it lower (down to 13). In the United Kingdom — **13** (UK GDPR). Users under the age of majority may register only with verifiable parental consent.
2.2. Adult content (18+) is hidden by default and unlocked only after you affirmatively confirm you are 18 or older in *Profile → Settings → 18+ Content*.
2.3. We may suspend or terminate accounts that we reasonably believe to be operated by underage users.
## 3. The Service
The Service is a platform where independent authors and translators publish original or translated web-novels, episodes, illustrations and related fan content. We act as an interactive computer service / hosting provider within the meaning of 47 U.S.C. § 230 (Section 230 of the Communications Decency Act) and the EU Digital Services Act (Regulation (EU) 2022/2065): we do not pre-moderate user content, but we expeditiously act on lawful take-down notices.
## 4. Account
4.1. You must provide accurate registration data. You are responsible for keeping your password confidential.
4.2. One natural person — one account. Automated account creation, bulk registrations, vote/comment manipulation, scraping that bypasses our rate limits are prohibited.
4.3. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service for non-commercial personal use during the lifetime of your account.
## 5. User content
5.1. You retain ownership of your original works. By posting any content to the Service you grant the Operator a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, translate, create derivative thumbnails/previews, communicate to the public, distribute and promote the content for the operation, marketing and improvement of the Service. This licence terminates when you delete the content, except for (i) reasonable backup copies for up to 90 days, (ii) copies already delivered to paying readers, and (iii) entries in security and audit logs.
5.2. You represent and warrant that you own or are duly licensed to publish every piece of content you upload, including translations of third-party originals (see § 7 below).
5.3. We may, but are not obliged to, monitor user content. We may remove or restrict any content that we reasonably believe to violate this Agreement or applicable law, with or without notice.
## 6. Prohibited content and conduct
You must not upload, transmit or otherwise make available through the Service any content that:
6.1. Sexually exploits or endangers minors, including CSAM (18 U.S.C. § 2252; UK Protection of Children Act 1978; EU Directive 2011/93/EU). We have a zero-tolerance policy: such content is removed immediately, the account is permanently banned, and reports are filed with NCMEC and competent authorities without prior notice.
6.2. Promotes, incites or threatens terrorism, mass violence, or genocide; supports designated terrorist organisations (18 U.S.C. § 2339A/B; UK Terrorism Act 2000).
6.3. Promotes self-harm, suicide, eating disorders or other behaviour that may seriously endanger health or life of vulnerable users.
6.4. Infringes intellectual-property rights of third parties (DMCA 17 U.S.C. § 512, Berne Convention).
6.5. Is defamatory, harasses, threatens or unlawfully invades the privacy of identifiable individuals.
6.6. Is fraudulent, deceptive, or facilitates illegal goods/services (drugs, weapons, malware, gambling without licence, financial scams).
6.7. Contains malware, phishing, automated abuse, or technical attacks against the Service.
6.8. Promotes hateful violence on the basis of race, ethnicity, religion, gender, sexual orientation, disability or any other protected characteristic.
## 7. Web-novel niche: translations and fan-fiction
7.1. **Translations.** Posting a translation of a copyrighted original is allowed only if (i) you obtained written permission from the rights-holder; or (ii) the original is in the public domain (typically 70 years post mortem auctoris in most countries); or (iii) you rely on a clearly applicable statutory limitation. We respond expeditiously to DMCA notices and equivalent take-down requests from foreign aggregators (Webnovel, Tapas, Novelpia, RIDIBOOKS, Kakao, Yonder, etc.) — see [DMCA](/pages/dmca).
7.2. **Fan-fiction.** Derivative works using third-party characters and worlds are tolerated for non-commercial sharing. Monetising fan-fiction (paywalled chapters, premium unlocks) without the rights-holder’s permission is **prohibited**.
7.3. **Age ratings.** Every published book carries an age tag (0+, 12+, 16+, 18+). Authors are responsible for assigning the correct rating; we may reclassify content on review.
7.4. **Chapter removals.** If a chapter is removed for violating §§ 6–7, RC spent unlocking it is not refunded. RC is refunded only when an author voluntarily deletes a chapter for reasons not attributable to the reader.
## 8. Payments, RC, Premium
8.1. The internal unit of account is **RC**. Top-up minimum is **5 USD** (Plisio crypto-gateway requirement). The conversion rate is published in *Wallet → Top-up*. RC are not legal tender, not e-money under EU Directive 2009/110/EC, and are not redeemable for cash.
8.2. Payments are processed by third-party providers (Plisio for crypto and, where enabled, Paddle/Stripe/PayPal for cards). We do not store full card numbers.
8.3. **Refunds.**
- Digital content delivered electronically and unlocked by the reader is **not refundable**. This corresponds to the statutory exception in EU Directive 2011/83/EU, Article 16(m) (consumer expressly consents to immediate performance and acknowledges loss of withdrawal right) and to comparable US merchant terms.
- Premium subscription can be cancelled at any time; access remains until the end of the paid period; no pro-rata refund for the unused portion.
- Duplicate charges, processor errors and fraud are reviewed on request to `refunds@daolate.com` within **30 days** of the charge.
8.4. Promo codes, referral and daily bonuses are voluntary marketing; we may change or end any promotion at any time.
## 9. Limitation of liability
9.1. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE OPERATOR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
9.2. THE OPERATOR’S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO THE OPERATOR DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED (100) US DOLLARS, WHICHEVER IS GREATER. NOTHING IN THIS AGREEMENT LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW (e.g. gross negligence, wilful misconduct, death/personal injury caused by negligence, mandatory consumer-protection rights).
9.3. **Indemnification.** You agree to indemnify and hold harmless the Operator from any third-party claims arising from your content or your breach of this Agreement, including reasonable legal fees.
## 10. Privacy, data protection and cookies
10.1. Personal data processing is governed by our [Privacy Policy](/pages/privacy), which is incorporated by reference. By accepting this Agreement you acknowledge the Privacy Policy and the [Cookies Policy](/pages/cookies).
10.2. For EU/EEA users we rely on GDPR Article 6(1)(b) (performance of contract) and Article 6(1)(f) (legitimate interest) as applicable. For California residents, please see the “CCPA / CPRA rights” section of our Privacy Policy.
## 11. Account suspension and termination
11.1. We may suspend or terminate your account, without prior notice, if you breach §§ 6–7 of this Agreement, provide knowingly false registration data, or use the Service for illegal activity, or upon a binding order from a competent authority.
11.2. You may delete your account at any time via *Profile → Settings → Delete account*. Deletion forfeits any remaining RC balance and does not release you from liabilities accrued before deletion.
## 12. Changes to this Agreement
12.1. We may modify this Agreement from time to time. Material changes are announced at least **14 calendar days** in advance on this page and by email.
12.2. Continued use after the effective date constitutes acceptance of the updated version. The currently effective version is **v1.0**.
## 13. Governing law and dispute resolution
13.1. This Agreement is governed by the law applicable at the seat of the Operator, without regard to its conflict-of-laws rules. Mandatory consumer-protection rules of the User’s country of residence remain unaffected.
13.2. The parties will first attempt to resolve any dispute amicably. Send claims to `legal@daolate.com`; we will reply within 30 days.
13.3. If amicable resolution fails, disputes shall be brought before the competent courts at the User’s place of residence (for consumers) or at the Operator’s seat (for non-consumers), unless mandatory law provides otherwise.
13.4. **Class-action waiver (US users only, where enforceable):** to the extent permitted by applicable law, you and the Operator agree to resolve disputes on an individual basis and waive any right to participate in class actions or representative proceedings.
## 14. Miscellaneous
14.1. If any provision is held unenforceable, the remainder of the Agreement remains in force.
14.2. Our failure to enforce any right does not constitute a waiver.
14.3. You may not assign this Agreement. We may assign it to a successor in connection with a merger or sale of assets.
